Torismic Rewards Program Terms

These Torismic Rewards Program Terms ("Program Terms") govern Torismic Points and Torismic Coupons, shown together in the Torismic Rewards section of the Torismic customer app (the "App") (together, "Torismic Rewards" or the "Program"), operated by Torismic LLC, a Nevada limited liability company ("Torismic," "we," "us"). They supplement the Consumer Terms (/consumer-terms) for consumers and the Business Terms of Service (in dashboard, app.torismic.com, the "Business Terms") for Businesses. For the Program, these terms control; dispute resolution is governed by Section 13 of the Consumer Terms (consumers) or Section 17 of the Business Terms (Businesses), and governing law by Section 14 of the Consumer Terms (Nevada law) or Section 19 of the Business Terms.

1. What the Program Is — and Is Not

1.1 Torismic Points are promotional loyalty points that Torismic awards when you make qualifying visits and purchases at participating Businesses. You can then convert your points into a catalog reward (Section 4), which unlocks a Torismic Coupon. Torismic Points are Torismic's program and are separate from any Business's own loyalty program (Section 10.7).

1.2 Torismic Coupons are promotional discounts issued by Torismic (Torismic generates the coupon and its one-time redemption code in the App; the Business funds the discount, as described below) for catalog rewards that a participating Business opted in to (Section 10.1A), unlocked when you redeem Torismic Points. A Torismic Coupon reduces the price of a purchase at a participating Business by the reward's stated discount. The participating Business funds the discount itself, by reducing its own price, as its own promotional spend, and Torismic does not reimburse it; you pay nothing for it. Torismic Points and Torismic Coupons are together "Rewards."

1.3 No money in, no money out. You cannot add, load, deposit, or transfer your own money into Torismic Rewards, and you cannot withdraw, cash out, or exchange Rewards for cash, a check, a bank transfer, or a gift card. Rewards are not purchased and have no cash value, except where a law specifically requires otherwise.

1.4 Not a financial product. Torismic Rewards is a promotional rewards program. It is not a bank or deposit account, wallet, stored-value or prepaid account or card, gift card or gift certificate, electronic money, or payment instrument. Rewards earn no interest, are not FDIC-insured, and are not your property; they are a promotional benefit Torismic offers subject to these terms.

1.5 Future features. Torismic may in the future consider offering other features. Torismic will not add any wallet, stored-value, or other feature that lets you load, store, send, or withdraw money unless and until it (a) publishes separate new terms, (b) gives you at least 30 days' advance notice, (c) obtains your affirmative consent to those terms, and (d) offers the feature only in compliance with applicable law, which may require licensing or a licensed partner. Until then, these terms describe the Program completely.

2. Eligibility

You need a Torismic customer account in good standing, must be at least 18 years old, and must reside in the United States. One account per person. The Program is void where prohibited.

3. Earning Torismic Points

3.1 Points are credited automatically when a qualifying purchase is recorded at a participating Business to which you are connected (Consumer Terms, Section 3). Depending on the earning rules shown in the App, you may earn the following (to convert points into a catalog reward, see Section 4):

• visit points for each qualifying visit;
• purchase points based on the pre-tax purchase amount (excluding tips, taxes, gift-card purchases, and amounts discounted by Torismic Coupons);
• bonus points, such as a sign-up bonus, first visit to a new participating Business, birthday bonus, visit streaks, and limited-time promotions.

3.2 Points may be multiplied by your tier, based on total points earned over time ("lifetime points"), as shown in the App. Earning rates, bonuses, tiers, and multipliers are set by Torismic, are shown in the App, and may change (Section 7).

3.3 Points are not earned on voided or refunded purchases, and points credited for such purchases will be removed.

3.4 No referral rewards. You may tell others about Torismic, but Torismic does not offer any reward, bonus, points, or other incentive for referrals.

4. Redeeming Torismic Points

After you earn points (Section 3), you may convert (redeem) available points for Torismic Coupons, by choosing a catalog reward that a participating Business opted in to (Sections 5.1 and 10.1A), at the points cost shown in the App; some require a minimum tier. Redemptions are subject to the limits in Section 5.3.

Redeemed points are deducted from your points total; redemptions are final once processed, except where we correct an error or as provided in Section 6.1.3.

5. Using Torismic Coupons

5.1 Where. A Torismic Coupon can be used only at participating Businesses that opted in to that specific catalog reward during its opt-in window (Section 10). Not every Business on Torismic participates, and a Business may honor some catalog rewards and not others; the App shows which Businesses honor each reward.

5.2 How. In the App, you select a fixed catalog reward at a participating Business that honors it and generate a one-time redemption code. The code expires after a short time (a few minutes) if not used, and you can cancel it before it is used. The Business enters the code at checkout, and the reward is applied as a discount to that purchase. The rest of the purchase price is settled with the Business in the usual way; Torismic is not involved in that part.

5.3 Limits. Torismic may set and change limits on the total value of unredeemed Torismic Coupons an account may hold, on daily redemptions, and per purchase; current limits are shown in the App.

5.4 Refunds and returns. If a Business refunds a purchase on which a Torismic Coupon was applied, the coupon is restored to you as a Torismic Coupon (not cash) if it has not expired. Any other part of the purchase is refunded under that Business's refund policy.

5.5 No change. If the coupon's value exceeds the purchase price, the unused remainder is forfeited; it is not restored, and no cash or change is given.

6. Expiration

6.1 Coupon expiration. Torismic sets the expiration of each Torismic Coupon individually, at the time it creates or issues that coupon. There is no program-wide expiration period or minimum duration. Each coupon displays its own expiration date when issued. An expired coupon has no value, cannot be redeemed, and is not restored, recovered, extended, or exchanged for anything else, except where required by law.

6.1.1 Expired coupons stay in your history. When a Torismic Coupon expires, it does not disappear from your profile. It remains visible in your Rewards history, marked as expired and showing its expiration date, but it can no longer be redeemed.

6.1.2 Business no longer in the catalog. A Torismic Coupon can be redeemed only at a participating Business that honors it (Section 5.2) and is currently in the catalog. If that Business no longer appears in the catalog — for example, because it left the Torismic platform, did not renew its subscription, or was suspended (for non-payment or under Section 18.2 of the Business Terms) — the coupon cannot be accepted there unless the Business is on the list again; it remains valid at any other Business that opted in to that catalog reward. If no other Business opted in to it, the coupon is cancelled and the Torismic Points used to unlock it are restored to you right away (Section 6.1.3). The coupon still expires on its own expiration date (Section 6.1).

6.1.3 Points restored if a coupon can no longer be used. If you redeemed Torismic Points to unlock a Torismic Coupon and that coupon is no longer valid because the only Business that opted in to that catalog reward no longer appears in the catalog (for example, because it left the Torismic platform, did not renew its subscription, cancelled, was suspended for non-payment, had its access suspended under Section 18.2 of the Business Terms, was terminated, or went out of business), the coupon is cancelled and the same number of Torismic Points you used are restored to your account in the App right away (as points, not cash). If you have not redeemed points for a coupon, nothing changes.

6.1A Points. Points expire after 24 months of account inactivity (no qualifying earn or redemption), with at least 30 days' notice by email or in-app before expiration.

6.2 Any expiration date applicable to a Reward is shown in the App on that Reward.

6.3 Forfeiture. Rewards are forfeited, without compensation, if your account is deleted (by you) or closed by us, terminated for violating these terms or the Consumer Terms, or if the Program ends after the notice and redemption window in Section 7.2.

7. Changes and Ending the Program

7.1 Torismic may, to the extent permitted by law: change earning rates, bonuses, tiers, Rewards, the points cost of catalog rewards, and limits; revoke, void, or adjust Rewards issued in error, earned or used through fraud or abuse, or tied to reversed transactions; freeze an account's Rewards while we review suspected fraud or misuse; and suspend or end all or part of the Program.

7.2 We will give at least 30 days' advance notice of material adverse changes, and at least 60 days' notice before ending the Program, during which you may redeem existing Rewards, except where immediate action is needed to prevent fraud or comply with law.

8. No Transfer or Sale

Rewards are personal and non-transferable. They may not be sold, bartered, gifted, pooled, combined between accounts, or transferred (including on death or by operation of law), except as Torismic expressly allows. Rewards obtained in violation of this Section are void.

9. Fraud and Abuse

We monitor the Program for fraud (for example, velocity and redemption-limit checks). Creating multiple accounts, manufacturing visits or purchases, colluding with a Business, or otherwise gaming the Program may result in forfeiture of Rewards and closure of your account.

10. Participating Businesses

This Section applies to Businesses that opt in to honor Torismic Coupons.

10.1 Eligibility. A Business may participate only if it enables Torismic Rewards in its settings and holds the required loyalty add-on.

10.1A Rewards catalog. Torismic publishes a catalog of rewards (for example, $5 off, $2 off, or a free drink). Each catalog reward has an expiration date set by Torismic (Section 6.1). A catalog reward is offered to consumers only once at least one Business has opted in to it; if no Business selects a reward, it is not offered.

10.1B Opt-in window and lock-in. Torismic opens each catalog reward to Businesses during an opt-in window, published in the Business dashboard with its closing date. A Business opts in to a specific catalog reward only by actively clicking to opt in; silence or inaction means the Business declines that reward. Before the opt-in is completed, the Business is shown a final confirmation warning that it will be locked in once the window closes. Before the window closes, a Business may withdraw its opt-in. After the window closes, a Business that opted in is locked in for that reward and cannot opt out until that reward's coupons reach their expiration date set by Torismic. The lock-in applies while the Business's subscription is active. If the Business's subscription is not renewed, is cancelled, is suspended for non-payment, or is terminated (including for non-payment), or it no longer holds the required loyalty add-on, or its access is suspended under Section 18.2 of the Business Terms, the Business is automatically removed from the catalog. A Business may no longer appear in the catalog — for example, because it left the Torismic platform. In that case, coupons cannot be accepted there unless the Business is on the list again. Torismic Coupons are issued by Torismic (Section 1.2); one Business or several may opt in to the same catalog reward. If other Businesses opted in to that catalog reward, its Torismic Coupons remain valid at them. If no other Business opted in to it, its Torismic Coupons are cancelled and the Torismic Points used to unlock them are restored to the customer right away (Section 6.1.3). When the subscription is active again, its access is reinstated, or the Business returns under the same profile, it reappears in the catalog and unexpired Torismic Coupons that were not cancelled are valid there again. A Business must not accept a Torismic Coupon for a catalog reward it did not opt in to. Turning off Torismic Rewards in settings does not end an existing lock-in.

10.2 Honoring a code. The Business must honor each Torismic Coupon for a reward it opted in to. The Business enters the customer's one-time code (Section 5.2) at checkout and applies the reward as a discount. The Business must not charge customers using Torismic Coupons more than its regular price, impose a surcharge, or give cash, change, or cash equivalents for a coupon.

10.3 Business-funded discounts; no reimbursement. The Business funds the discount on each Torismic Coupon it honors as its own promotional spend to attract customers. Torismic does not reimburse or pay the Business anything for honored coupons. This discount is the Business's own marketing cost; it is not a payment to Torismic, and Torismic does not collect any money from the Business for Torismic Coupons or redemptions.

10.4 Refunds. If the Business refunds a purchase on which a Torismic Coupon was applied, the coupon is restored to the customer's account in the App as provided in Section 5.4. The Business may not restore a Torismic Coupon in any other way.

10.5 Adjustments. Torismic may void or suspend a catalog reward, or void or suspend redemptions, involving fraud, error, or violation of these terms.

10.6 Sales tax. The Business is responsible for collecting and remitting sales tax on purchases where a Torismic Coupon is applied, and for determining the correct tax treatment under applicable law.

10.7 Separate programs. A Business's own loyalty program (its points, punch cards, rewards, and gift cards) is the Business's program, governed by the Business's rules and the AUP, even though its points are tracked on the customer's universal Torismic profile. Torismic Points and Torismic Coupons are Torismic's program only and are never a Business's points, property, or data. A Business has access to its own loyalty-program data only while its Torismic subscription is active.

10.8 Torismic Coupons do not run through the Business's card processor and are not card transactions.

11. Promotions, Contests and Sweepstakes

Any contest, sweepstakes, or game of chance offered through the Program will be governed by separate official rules, with no purchase necessary where required by law.

12. Taxes

Rewards are promotional discounts. You are responsible for any taxes that may apply to Rewards you receive.

13. Disclaimers and Liability

The Program is provided "as is." Torismic is not responsible for a participating Business's goods, services, pricing, or refusal to honor a Torismic Coupon. To the extent permitted by law, Torismic's liability relating to the Program is limited as stated in the Consumer Terms (Section 12) or the Business Terms (Section 15).

14. Privacy and Financial Incentive

The Program is a "financial incentive" under California law. Our Notice of Financial Incentive — what information we use, how the Program works, the estimated value of your data, and how to opt in or withdraw — is in the Privacy Policy (Section 10). You opt in by accepting these terms in the App, and you may withdraw at any time by turning off Torismic Rewards in App → Settings or deleting your account (Rewards are then forfeited under Section 6.3).

15. Changes to These Terms; Contact

We may update these terms using the two-step process (advance notice stating the effective date, then affirmative acceptance in the App or dashboard) in the Consumer Terms (Section 15) for consumers or the Business Terms (Section 22) for Businesses; program changes are covered by Section 7.2.
